April 18, 2016 Vancouver, Canada — Pacific North West Capital Corp. (“PFN” and the “Company”) (TSX.V: PFN; Frankfurt: P7J.F; OTC Pink: PAWEF announces that the Company has granted up to 4,500,000 incentive stock options to directors officers and consultants of the Company at an exercise price of $0.07 per share, exercisable for a period of five years in accordance with the Company’s Stock Option Plan. The options are subject to acceptance for filing by the TSX Venture Exchange.
Further to the Company’s news release of today’s date, the Company wishes to amend the financing terms to include flow-through units. The Company intends to raise gross proceeds of up to $750,000 by way of combined flow-through (“FT”) and non flow-through (“NFT”) units.
Each FT unit will consist of one common share at a price of $0.065 per FT unit and one non flow-through non-transferable share purchase warrant (“Warrant”). Each Warrant will entitle the holder thereof to purchase one additional common share of the Company at an exercise price of $0.10 per share during the first year and $0.20 per share during the second year, for a period of two years from closing.
Each NFT unit will consist of one common share at a price of $0.055 per NFT unit and one non-transferable share purchase warrant (“Warrant”). Each Warrant will entitle the holder thereof to purchase one additional common share of the Company at an exercise price of $0.10 per share during the first year and $0.20 per share during the second year, for a period of two years from closing.
The private placement is subject to the acceptance of the TSX Venture Exchange.
